1. Agreement to Terms
By accessing and using GlassLyte's website (glasslyte.co.uk) and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. We reserve the right to modify these terms at any time.
2. Services Provided
GlassLyte provides web design and development services, including but not limited to:
- Custom website design and development
- Website maintenance and support
- E-commerce solutions
- SEO and digital marketing services
- Domain registration and hosting management
- Logo design and branding
3. Project Quotes and Pricing
All quotes are valid for 30 days from the date of issue unless otherwise stated. Prices are in GBP (£) and include VAT where applicable. Final project costs may vary based on scope changes, additional requirements, or unforeseen complexities. Any changes to the agreed scope will be discussed and approved before implementation.
4. Payment Terms
- Deposit: 50% deposit required before project commencement
- Final Payment: Remaining 50% due upon project completion and client approval
- Maintenance Plans: Billed monthly in advance via direct debit or invoice
- Late Payments: Interest may be charged on overdue invoices at 8% above Bank of England base rate
- Payment Methods: Bank transfer, credit/debit card, or approved payment platforms
5. Project Timeline and Delivery
Project timelines are estimates and may be subject to change based on client feedback, content delivery, and project complexity. We will make reasonable efforts to meet agreed deadlines. Delays caused by late client feedback, content provision, or approval may extend the delivery timeline without penalty to GlassLyte.
6. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and content in a timely manner
- Ensuring all content, images, and materials provided do not infringe copyright or other rights
- Providing timely feedback and approvals during the project
- Maintaining backup copies of their website content
- Ensuring domain and hosting accounts remain active (if not managed by GlassLyte)
- Complying with all applicable laws and regulations for their website content
7. Intellectual Property Rights
Upon Full Payment:
- Client owns all custom design work, content, and materials created specifically for their project
- GlassLyte retains rights to reusable code, frameworks, and development tools
- Third-party assets (fonts, plugins, themes) remain under their respective licenses
GlassLyte reserves the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
8. Revisions and Changes
Each package includes a specified number of revision rounds (1-3 rounds depending on package). Additional revisions beyond the agreed scope may incur extra charges. Major changes to the project scope will require a new quote and may affect the delivery timeline.
9. Website Maintenance and Support
Maintenance plans include regular updates, backups, security monitoring, and technical support as specified in the chosen plan. Emergency support outside of business hours may incur additional charges. Maintenance clients must provide 30 days' notice for cancellation.
10. Warranties and Disclaimers
We Warrant That:
- Services will be performed professionally and to industry standards
- Websites will be tested and functional at the time of delivery
- Code will be free from known defects at launch
We Do Not Warrant:
- Specific search engine rankings or traffic results
- Uninterrupted operation of third-party services (hosting, plugins, etc.)
- Compatibility with future browsers or technology updates without maintenance
- Protection against all security threats or hacking attempts
11. Limitation of Liability
GlassLyte's liability is limited to the total amount paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption. This limitation applies except where prohibited by law.
12. Hosting and Third-Party Services
We partner with Krystal Hosting for renewable energy-powered hosting. Hosting services are subject to the provider's terms and conditions. We are not responsible for hosting downtime, data loss, or issues caused by the hosting provider, though we will assist in resolution where possible.
13. Cancellation and Refunds
By Client:
- Cancellation before work begins: Full deposit refund minus 10% administration fee
- Cancellation after work begins: Deposit is non-refundable; client pays for work completed
- Maintenance plans: 30 days' notice required; no refund for current billing period
By GlassLyte:
We reserve the right to terminate projects with full refund if client fails to provide necessary materials, feedback, or payment within 60 days of request.
14. Confidentiality
Both parties agree to keep confidential information disclosed during the project confidential. This obligation survives termination of the agreement. GlassLyte will not disclose client information except as required by law or with client consent.
15. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government actions, internet outages, or third-party service failures.
16. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
18. Entire Agreement
These Terms and Conditions, together with any written project proposal or agreement, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, or agreements.
